Terms of Service

The terms and conditions governing your use of OrbisStack services and this website.

1. Acceptance of Terms

By accessing or using the OrbisStack website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services.

These terms apply to all visitors, users, and clients of OrbisStack. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Services

OrbisStack provides services including website care plans, web application development, mobile app development, project rescue, and AI solutions. The specific scope of services provided to each client is defined in a separate agreement or statement of work.

We reserve the right to modify, suspend, or discontinue any service at any time. We will provide reasonable notice to active clients before making material changes to ongoing services.

3. Client Responsibilities

Clients are responsible for providing accurate and timely information needed for the provision of services. This includes access to existing systems, documentation, and credentials as required.

Clients are responsible for ensuring they have the right to provide OrbisStack with access to their systems, code, and data. OrbisStack is not liable for any claims arising from a client lacking proper rights or permissions.

Clients must comply with all applicable laws and regulations related to their use of our services, including data protection, privacy, and industry-specific compliance requirements.

4. Intellectual Property

All code, documentation, and intellectual property created by OrbisStack for a client as part of a paid engagement belongs to the client upon full payment, unless otherwise specified in a separate agreement.

OrbisStack retains the right to use generic, non-client-specific tools, libraries, and methodologies developed during the course of providing services. We do not retain any rights to client-specific code, data, or business logic.

The OrbisStack name, logo, and brand are the exclusive property of OrbisStack. Clients may not use our brand without prior written consent.

5. Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest charges of 1.5% per month.

For maintenance plans, billing is monthly in advance. For project-based work, billing is typically milestone-based. For dedicated teams, billing is monthly in arrears.

Clients may cancel maintenance plans at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

6. Confidentiality

OrbisStack treats all client information as confidential. We do not disclose client information to third parties without consent, except as required by law.

We implement reasonable security measures to protect client data. However, no system is perfectly secure, and we cannot guarantee absolute security. For specific security requirements, refer to our Security Policy.

7. Limitation of Liability

OrbisStack is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising from our services is limited to the amount paid by the client for the specific service giving rise to the claim.

We are not liable for downtime, data loss, or business interruption caused by factors outside our reasonable control, including third-party service failures, natural disasters, or client actions.

8. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination, OrbisStack will provide reasonable assistance with transition, including documentation and knowledge transfer.

OrbisStack may terminate services immediately if a client breaches these terms, fails to pay invoices, or engages in unlawful or unethical conduct.

9. Changes to These Terms

We may update these Terms of Service from time to time. We will notify clients of material changes via email. Continued use of our services after changes constitutes acceptance of the updated terms.
